Agreement to Terms

By accessing or using the website paisleyhelps.com, purchasing services, or engaging with Paisley Business Services in any capacity, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute the primary agreement between you (“Client”) and Paisley Business Services (“we,” “us,” or “our”) and govern all services provided. Specific deliverables, timelines, and pricing will be outlined in the invoice issued for each engagement.

 

Services Offered

Paisley Business Services provides the following categories of services:

  • Business Formation Services: Assistance with the preparation and filing of documents related to the formation of business entities.

  • Business Compliance Services: Support with ongoing compliance filings and obligations at the local, state, and federal levels.

  • Administrative Services: General business administrative support provided on an hourly basis.

  • Coaching Services: One-on-one or group business coaching sessions, offered in-person or virtually.

  • Business Planning Workshops: Scheduled group workshops focused on business planning and development topics.

 

Paisley Business Services does not provide bookkeeping, accounting, or registered agent services. Nothing in these Terms or in the delivery of our services should be construed as the provision of legal, accounting, or financial advice. Our services are administrative and informational in nature. Clients are strongly encouraged to consult a licensed attorney, CPA, or financial advisor for advice specific to their legal, tax, or financial situation.

 

Fees and Payment
Fee Structure

Fees for services are structured as follows:

  • Flat fees apply to filing and formation services.

  • Hourly fees apply to administrative services.

  • Retainer fees apply to ongoing service maintenance plans.

 

Specific fees for each engagement will be stated on the invoice provided to the Client prior to the commencement of services.

 

Payment Terms

Payment is required in full prior to the delivery of any service or filing, unless the Client has been approved for a payment plan in writing by Paisley Business Services. Approval of a payment plan is at our sole discretion.

We reserve the right to withhold delivery of any work product, filing, or service until payment has been received in accordance with these Terms.

 

Refund and Cancellation Policy
 
Filing and Formation Services

Refunds for local, state, or federal filing services are available only if the filing has not yet been submitted. Once a filing has been submitted, no refund will be issued.

 

Administrative Services, Consulting, and/or Coaching Services

Refunds for administrative services, consulting, and/or coaching services are available only if the service has not been delivered or initiated. 

 

Satisfaction-Based Refund Requests

If you are dissatisfied with the quality of a service, you may submit a refund request. These requests are evaluated on a case-by-case basis to determine eligibility.

 

Non-Refundable Items

Refunds will not be issued for:

  • Government filing fees, regardless of outcome.

  • Completed and submitted filings.

  • Services that have been delivered in full or partially fulfilled.

  • Dissatisfaction unrelated to the quality or accuracy of the service provided.

 

Refund Request Process

To request a refund, please contact us at contact@paisleyhelps.com within 10 days of your service date. Include your name, service details, and a brief explanation of your request. Please allow up to 10 business days for review and response. Approved refunds will be issued in the original form of payment within 7–10 business days of approval.

 

Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and truthful information and documentation required for the delivery of services.

  • Submit all required information and documents in a timely manner.

  • Notify Paisley Business Services promptly of any changes to information previously provided.

 

If a Client provides incorrect or incomplete information that results in an error in a filing or other deliverable, any amendment, correction, or re-filing required as a result will be performed at the Client’s additional expense. Paisley Business Services is not liable for errors, delays, penalties, or rejections arising from inaccurate or untimely information provided by the Client.

 

Intellectual Property

All content, materials, presentations, handouts, curricula, and resources created and used by Paisley Business Services in connection with our coaching sessions and business planning workshops are the sole intellectual property of Paisley Business Services.

Attendees and clients may not reproduce, distribute, resell, sublicense, or otherwise use our materials for any commercial or public purpose without our prior written consent. Personal, non-commercial reference use is permitted.

 

Limitation of Liability

To the fullest extent permitted by applicable law, Paisley Business Services’ total liability to any Client for any claim arising out of or related to these Terms or the services provided shall not exceed five hundred dollars ($500.00), regardless of the nature of the claim or the theory of recovery.

In the event that an error is made by Paisley Business Services in the preparation or submission of a filing, we will work with the Client to correct the mistake through an amendment filing at our expense. By engaging our services, the Client agrees to allow Paisley Business Services the opportunity to cure any such error through this process before pursuing any other remedy.

Paisley Business Services shall not be liable for any indirect, incidental, consequential, special, or punitive damages of any kind, including but not limited to lost profits, lost business opportunities, or reputational harm.

 

Force Majeure

Paisley Business Services shall not be held liable for any failure or delay in the performance of our obligations under these Terms due to causes beyond our reasonable control. This includes, but is not limited to, acts of God, natural disasters, pandemics, government actions or shutdowns, changes in law or regulation, power outages, internet or system failures, civil unrest, or any other event outside our reasonable control (“Force Majeure Event”).

In the event of a Force Majeure Event, we will notify the Client as soon as reasonably practicable and will resume performance as soon as the circumstances allow. The Client will not be entitled to a refund solely on the basis of a delay or non-performance caused by a Force Majeure Event.

 

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services provided by Paisley Business Services, the parties agree to the following process:

 

Mediation

The parties will first attempt to resolve the dispute through good-faith mediation. Either party may initiate mediation by providing written notice to the other. The cost of mediation shall be shared equally between the parties unless otherwise agreed.

 

Arbitration

If mediation does not result in a resolution within 30 days of initiation (or such longer period as the parties may agree), the dispute shall be submitted to binding arbitration in accordance with the rules of a mutually agreed-upon arbitration organization. The arbitration shall take place in Bell County, Texas. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

 

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Bell County, Texas.

 

Disclaimer of Warranties

Our website and services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. We make no guarantees regarding the outcome of any filing, formation, or compliance service.

Partner and Affiliate Disclaimer

Paisley Business Services may refer clients to, or work in conjunction with, third-party partners, affiliates, or service providers. Any such referral or collaboration does not constitute an endorsement, guarantee, or warranty of the products, services, quality, or conduct of those third parties.

Paisley Business Services makes no representations or warranties of any kind, express or implied, on behalf of any partner or affiliate. We are not responsible for the actions, omissions, errors, representations, warranties, or failures of any third-party partner or affiliate, nor for any damages or losses — direct or indirect — that may result from your engagement with them.

Any agreements, transactions, or disputes between you and a third-party partner or affiliate are solely between you and that party. We encourage you to independently review the terms, policies, and qualifications of any third party before engaging their services.

 

Modifications to Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the “Last Updated” date at the top of this page. Your continued use of our website or services following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

 

Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

 

Entire Agreement

These Terms, together with any invoice issued by Paisley Business Services, constitute the entire agreement between the Client and Paisley Business Services with respect to the subject matter herein and supersede all prior agreements, understandings, and communications, whether written or oral.
